Quantum Computing (QCi) has agreed to acquire Luminar Semiconductor (LSI), a wholly-owned subsidiary of Luminar Technologies, in an all-cash transaction valued at $110 million.
The acquisition will bring QCi a suite of photonics technologies, patents and Luminar Semiconductor’s team of engineers and scientists.
Luminar Semiconductor manufactures and sells photonic components that are important to the QCi technology roadmap.
With this deal, Quantum Computing aims to advance commercial deployment of its quantum systems while supporting Luminar Semiconductor’s existing customer base.
Meanwhile, Luminar Technologies has filed a voluntary Chapter 11 bankruptcy case in the U.S. Bankruptcy Court for the Southern District of Texas.
“This acquisition represents a meaningful step forward in our strategy to develop and expand practical integrated quantum solutions,” said Yuping Huang, Chairman and CEO of QCi.
“The revenue opportunities following the completion of the transaction will be twofold: serving and expanding LSI’s current non-quantum customer base; and leveraging LSI’s technology and products to advance the commercialization of quantum devices in our target markets.”
Luminar Semiconductor is not a debtor in these cases and continues to operate normally.
Because Luminar Semiconductor is a subsidiary of Luminar Technologies, the transaction requires bankruptcy court approval through a Section 363 sale proceeding.
QCi has agreed to be the proposed potential bidder for the process and will be entitled to customary bid protections.
The parties expect to close the transaction, which is subject to customary closing conditions, including bankruptcy court approval, and is expected to close by the end of January 2026.
